About "Endurance Capital"

"Endurance Capital" and "Endurance" are collective trading names used for convenience to describe the investment activities of a number of separate and independent companies and trusts established under the laws of jurisdictions outside the United Kingdom, principally the Isle of Man and South Africa (the "Endurance Entities", and each an "Endurance Entity").

"Portfolio Companies" means the companies in which the Endurance Entities hold direct or indirect shareholdings, some of which are registered in the United Kingdom. Portfolio Companies are separately owned and independently managed. Each Portfolio Company is responsible for its own regulatory position, and any authorisation or permission held by a Portfolio Company is held by it alone.

Endurance Capital is not itself a company, partnership, limited liability partnership, joint venture, association, unincorporated body or legal entity of any kind, in the United Kingdom or in any other jurisdiction. It is not registered in the United Kingdom, has no legal personality and is not capable of holding assets, owning shares, incurring liabilities, entering into contracts, employing staff or being sued in its own name.

References on this website to Endurance Capital or Endurance acquiring, holding, managing, exiting or otherwise dealing with any investment mean that the relevant transaction was entered into or the relevant interest is held by one or more Endurance Entities or their subsidiaries. Descriptions of roles or titles held "at Endurance Capital" describe the individual's role in relation to the investment activities of the Endurance Entities and not an office in any single entity.

No partnership or agency

Nothing on this website creates or evidences, or is intended to create or evidence, a partnership within the meaning of the Partnership Act 1890, a limited liability partnership, a joint venture, a fiduciary relationship or a relationship of principal and agent between any Endurance Entity, or between any Endurance Entity and any family, individual, Portfolio Company or third party.
Each Endurance Entity is a separate legal person which contracts only on its own behalf and is responsible only for its own acts, omissions and obligations. No Endurance Entity has authority to bind, and does not act as agent for, any other. No Endurance Entity is liable for the acts, omissions or obligations of any other, and no such liability is assumed by any family member, director, trustee, officer or employee.
Where this website uses expressions such as "we", "us", "our", "our team" or "group", those expressions are used loosely and for convenience only, to describe the Endurance Entities and the individuals associated with them collectively. They do not connote a partnership, a single business, a common employer, or any legal relationship between those entities or individuals.

Use of the word "partner"

This website uses "partner", "partnering", "partnership", "alliance", "alongside" and similar expressions in a general, non-technical and descriptive sense, to describe a collaborative, long-term and aligned working relationship with the owners and management teams of businesses in which the Endurance Entities invest. Those expressions do not mean, and are not intended to mean:

(i) that Endurance Capital, or any group of the Endurance Entities, or any of the families or individuals associated with them, is or carries on business as a partnership within the meaning of the Partnership Act 1890 or the law of any other jurisdiction, or as a limited liability partnership, joint venture, association or other legal entity;

(ii) that any partnership, joint venture, fiduciary relationship, relationship of trust and confidence, relationship of principal and agent, or duty of good faith beyond the express terms of any executed contract exists or arises between any Endurance Entity and any Portfolio Company, or any owner, shareholder, director, officer or employee of a Portfolio Company; or

(iii) that any Endurance Entity assumes any responsibility for the management or operations of any Portfolio Company, each of which is managed by its own board.

The rights and obligations between an Endurance Entity and any counterparty are governed exclusively by the terms of the written agreements executed between them.

Individuals named on this website

Individuals named on this website hold offices in, or provide services to, one or more Endurance Entities. They act only in that capacity and only for the entity concerned. They do not act as partners of any firm, do not carry on business in the United Kingdom in their own names, and accept no personal liability arising from this website. Professional qualifications shown are held in the jurisdictions in which they were awarded and do not indicate that any regulated service is offered in the United Kingdom.

No regulated services and no offer

The Endurance Entities invest their own proprietary capital. They do not manage, advise on or hold money or assets for third parties, do not operate a collective investment scheme or fund, do not accept external subscriptions and do not carry on any regulated activity in the United Kingdom. No Endurance Entity is authorised or regulated by the Financial Conduct Authority. Certain Portfolio Companies are regulated in their own right.
